Terms of Service

1. Who you're contracting with

The Service is provided by WizLogistics ("WizLogistics," "we," "us," or "our"), operating from Washington, United States. You can reach us at support@wizlogistics.ai. WizLogistics is an unincorporated business; the legal operator is identified at the end of these Terms.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Service. By using WizLogistics, you represent that you meet these requirements and that you are using the Service for a business operated by you or on behalf of an entity you are authorized to bind.

3. Your account

You are responsible for maintaining the security of your account credentials and for any activity that occurs under your account. You agree to notify us promptly at security@wizlogistics.ai of any unauthorized use of your account. We strongly recommend enabling multi-factor authentication on your account.

4. Amazon authorization and your data

When you connect WizLogistics to your Amazon Seller Central account, you authorize WizLogistics to access and process information from your Amazon Selling Partner account through Amazon's Selling Partner API, solely to provide the Service to you. You can revoke this authorization at any time from Amazon Seller Central; upon revocation, your data will be handled as described in our Privacy Policy, including deletion within 30 days.

You confirm that you have all necessary rights and authorizations to grant WizLogistics access to the data in your Amazon Seller Central account.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful, fraudulent, or deceptive activity, including violating Amazon's policies or seller agreements.
• Reverse-engineer, decompile, or attempt to extract source code from the Service, except to the extent permitted by applicable law.
• Interfere with or disrupt the Service, its infrastructure, or other users' use of it (including by sending excessive automated requests).
• Use the Service to access another seller's data without that seller's authorization.
• Resell, sublicense, or repackage the Service to a third party without our prior written consent.
• Upload content that infringes intellectual property rights, contains malware, or violates applicable law.

6. Fees and payment

Some features of the Service may require a paid subscription. Fees, billing periods, and payment terms will be presented to you before you subscribe. All fees are non-refundable except where required by law. We may change pricing for future billing periods on at least 30 days' notice.

7. Service availability

We aim to keep the Service available, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, upgrades, or events beyond our reasonable control. Amazon Selling Partner API availability, rate limits, and policy changes are determined by Amazon and may affect Service functionality.

8. Intellectual property

WizLogistics and all related software, design, and content are owned by us or our licensors and are protected by intellectual-property laws. You retain ownership of the data you bring into the Service (including Amazon Information accessed through your authorization). You grant us a limited license to process that data only as needed to provide the Service to you.

9. Termination and data deletion

You may stop using the Service and delete your workspace at any time. We may suspend or terminate your access if you materially breach these Terms or use the Service in a way that risks legal liability for us or for other users. On termination, your data is handled as described in our Privacy Policy — including deletion of all Amazon Information within 30 days of de-authorization or workspace deletion, in compliance with Amazon's Data Protection Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM USING IT WILL BE ACCURATE OR RELIABLE. WIZLOGISTICS IS NOT AFFILIATED WITH AMAZON.COM, INC. OR ITS AFFILIATES.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIZLOGISTICS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) OR (B) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold WizLogistics harmless from and against any third-party claim arising out of (a) your breach of these Terms, (b) your violation of applicable law, or (c) your misuse of the Service or of another party's data accessed through the Service.

13. Governing law and disputes

These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in King County, Washington, and you consent to personal jurisdiction there.

14. Changes to these Terms

We may update these Terms from time to time. The "Effective date" at the top reflects the most recent change. Material changes will be communicated by email to active workspace owners. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.
